What you are buying, what you also pay for, and who is responsible for what.

These terms cover Pace Notes, sold by Genesis Web Digital LLC ("we", "us"), Rockledge, Florida. Buying a licence or using the software means you accept them.
What you are buying
A licence to use Pace Notes — the Mac app and the Chrome extension, which are one product and one licence — for as long as your subscription is current. You are buying the use of software, not the software itself, and not a service we run on your behalf.
A licence is for one person. Install it on as many of your own machines as you personally use. It is not for sharing with colleagues, and each person who runs calls needs their own.
We want to be straight about how that is enforced, because it is unusual: it isn't. Your licence is checked offline, inside the software, with no server to report to. That means we cannot technically stop a key being used by more than one person, and we have chosen that design deliberately — it is what lets the software work with no account, no sign-in, and nothing sent to us about your calls. The one-person limit is a term you agree to, not a lock we impose. We are trusting you, and saying so.
What you also need, and pay for separately
Pace Notes does not include AI or transcription. You supply your own API keys from Anthropic and Deepgram and pay those companies directly for what you use. That cost is yours, it is separate from what you pay us, and it varies with how much you talk. A measured discovery call cost about $0.26 in Anthropic usage; a longer call costs more. The app has a spend cap you can set.
If either company changes its pricing, availability, or terms, that affects Pace Notes and is outside our control.
What the software does not promise
It does not promise to be available. The parts of Pace Notes that run on your own machine keep working whatever happens to us. Anything that depends on a service — ours, Anthropic's, Deepgram's or Google's — stops when that service does, and a call started during an outage may not start at all. There is no uptime commitment and no service credit. If you need to work through an outage, supply your own API keys; the software will use them and never contact us.
Pace Notes puts suggestions on screen during a sales call. They are suggestions. It can be wrong, it can miss things, and what it shows comes from the knowledge base you wrote. It is not advice — legal, financial, or otherwise — and nothing it displays should be said to a customer without your own judgement applied first.
Live transcription and AI generation depend on third-party services and your internet connection. Calls can be missed, misheard, or transcribed wrongly. Do not rely on Pace Notes as the only record of anything that matters.
Recording calls is your responsibility
Pace Notes records the other party. Many jurisdictions — Florida among them — require the consent of everyone on a call, not just yours. The software will not start until you confirm you have told them, and it timestamps that confirmation in the saved notes.
That prompt is a reminder, not legal advice, and not a defence. Complying with recording and privacy law where you and the other party are located is entirely your responsibility, and you agree to indemnify us against claims arising from how you used the software to record someone.
Billing, renewal and refunds
Licences are sold annually or monthly, in advance, through Stripe, our payment processor. A licence key carries an expiry date; when it passes, Pace Notes stops starting new calls and everything else keeps working. Your saved notes and knowledge remain yours and stay on your machine.
Refunds: within 14 days of a purchase, for any reason, ask and we will refund it. After 14 days we do not refund the remainder of a term. Because a licence key cannot be revoked remotely, a refund is given on the understanding that you stop using the software.
Renewal is not automatic on the software's side — a new key is issued when a renewal is paid. Cancel any time before a renewal date and nothing further is charged.
Updates and support
The Mac app can check for updates and install them; you can turn that off. We do not promise a release schedule, and we may change or remove features. Support is by email at cole@genesisweb.org, from one person, in Florida business hours, with no guaranteed response time.
What you may not do
Resell, sublicense, or redistribute Pace Notes; remove or defeat the licence check; publish a modified copy; or use it to record someone in a way that breaks the law where they are.
Liability
Pace Notes is provided as-is, without warranty of any kind. To the fullest extent the law allows, our total liability for any claim arising from the software or these terms is limited to what you paid us in the twelve months before the claim. We are not liable for lost sales, lost data, lost calls, or the cost of your Anthropic and Deepgram usage.
Nothing here limits liability that cannot be limited by law.
Ending it
You can stop using Pace Notes at any time; uninstalling removes everything it stored. We may end a licence if these terms are broken, and will refund the unused portion if we do.
Governing law and changes
These terms are governed by the laws of the State of Florida. If we change them, the version in force is the one published here when you bought or last renewed, and material changes will be emailed to licence holders.
